Terms of Use

Last Updated: September 30, 2026

1. Acceptance, Eligibility, and Changes

1.1 Agreement.

These Terms of Use ("Terms") are a binding agreement between you and Trash Daddy, Inc., a Delaware corporation ("Trash Daddy," "Company," "we," "us," or "our"). They govern your access to and use of the Platform and all Services, including customer services, the Gold Bin subscription, the Refer & Earn program, and participation as a Trash Daddy. These Terms include the Arbitration Agreement and Class Action Waiver in Section 10, which affects how disputes are resolved. Our Privacy Policy is incorporated into these Terms by reference.

1.2 How you accept.

You accept these Terms by creating an account, checking a box or tapping a button indicating acceptance in the App, placing an order, subscribing, participating in Refer & Earn, or otherwise using the Platform. If you do not agree, do not use the Platform.

1.3 Eligibility.

You must be at least 18 years old and able to form a legally binding contract to use the Platform. Ordering requires a valid credit or debit card in your name or one you are authorized to use. If you use the Platform on behalf of a business, school, church, or other organization, you represent that you are authorized to bind that organization, and "you" includes that organization.

1.4 Key terms.

  • "Platform" means our websites (including trashdaddy.com), mobile applications (the "App"), web admin tools, software, and related services.

  • "Services" means all services offered through the Platform, including Your Cans pickup, Gold trash pickup, Junk removal, the Gold Bin subscription, and Refer & Earn.

  • "Customer" means a person or organization that orders Services.

  • "Trash Daddy" (when referring to a person) means an independent contractor approved through the App to accept and complete orders.

  • "District" means a geographic service area we define, as described in Section 2.

  • "Gold Bin" means a Trash Daddy–owned 175-gallon bin provided to a Customer under a Gold Bin subscription.

  • "Franchisee" means an independently owned business licensed by Trash Daddy to manage one or more Districts.

1.5 No contract term; changes to Services and Terms.

Trash Daddy operates on a no-contract basis. Customers may stop using the Services or cancel a Gold Bin subscription at any time as described in these Terms. Because there is no fixed term, our Services, features, Districts, pricing, and these Terms are subject to change at any time in our sole discretion. Changes take effect when posted on the Platform or presented in the App, unless we state otherwise. We may, as a courtesy, notify you of changes by email, push notification, or in-app message, but except where required by applicable law or stated otherwise in these Terms (including Sections 4.4 and 10.12), we are not obligated to do so. We may ask you to accept updated Terms in the App before continuing to use the Platform. Your continued use of the Platform after changes take effect constitutes acceptance of the changes.

2. Service Districts, Pricing, and Payments

2.1 Service Districts.

Services are available only within Districts that we define by geographic boundary (geofence). We draw Districts based on business logistics, including travel distance between orders and access to a nearby disposal site. We may create, expand, reduce, merge, or discontinue any District at any time without notice. The App checks whether service is available at your location, and you may not add or order service for a location outside an active District. We may decline or cancel service for any location outside a District, including a location that falls outside a District after its boundary changes.

2.2 How prices are set.

Prices for Services are calculated based on location and logistics. Factors may include distance to the disposal site, the District in which the service location is located, disposal fees, mileage and fuel costs (including mileage rates we pay to Trash Daddies, which may reference IRS standard mileage rates), operating costs, and our margin. Prices may differ between Districts and between locations within a District. Advertised prices, including prices described as "as low as" or marked with an asterisk, are examples and may not reflect the price at your location.

2.3 You see the price before every order.

The price for each order is displayed in the App before you confirm it by swiping to order. By swiping to order, you agree to pay the price displayed, plus any applicable taxes, fees, and tip you select. Prices for Services may change at any time, including between orders and for recurring (repeat) orders. Each repeat order is charged at the price in effect when that order is placed. You can review current pricing in the App at any time and can turn off repeat orders or stop ordering at any time.

2.4 Junk estimates.

Junk removal prices are estimates based on the photos and description you provide. If the items at pickup differ from your photos or description, or you add items, we may adjust the estimate before the order is completed. We will tell you about the adjusted price. You may accept the adjusted price or decline the additional items, in which case the Trash Daddy may remove only the items covered by the original estimate.

2.5 Payment authorization and timing.

You authorize us and our payment processor, Stripe, to charge your payment method on file for all amounts due. When you place an order, we verify available funds (which may place a temporary authorization hold). For per-order Services, the charge is processed when the Trash Daddy picks up the order. Gold Bin subscription charges are described in Section 4. You are responsible for keeping your payment information current. We do not store full card numbers; payment information is handled by Stripe under its own terms and privacy policy.

2.6 Taxes and fees.

Prices may exclude applicable sales, use, or other taxes, which will be added where required. Certain Services include one-time fees, such as the Gold Bin delivery and pickup fee described in Section 4.3. All taxes and fees are shown in the App before you confirm your order.

2.7 Tips.

You may choose to add a tip. Trash Daddies receive 100% of tips, less only payment processing fees charged by Stripe on the tip amount. Tips are optional and are not part of the price for Services.

2.8 Promotions and credits.

Promotional discounts, including first-order discounts for referred Customers, apply only as stated in the offer, have no cash value, cannot be transferred, and may be modified or ended at any time. Unless the offer says otherwise, promotions cannot be combined.

2.9 Failed payments and amounts owed.

If a charge fails, we may retry it, suspend your account, cancel pending or repeat orders, and pursue amounts owed, including through collection. You agree to pay all amounts owed under these Terms, including charges for Gold Bin damage or loss under Section 4.

2.10 Refunds.

Except as stated in these Terms (including the prorated Gold Bin subscription refund in Section 4.5) or required by law, charges for completed Services are non-refundable. If you believe a charge is in error, contact us at hello@trashdaddy.com within 30 days of the charge. We may, at our discretion, issue credits or refunds to resolve service issues.

3. Customer Service Terms

3.1 Services offered.

Through the App you may order: (a) Your Cans, pickup of trash from your own trash cans; (b) Gold trash pickup, pickup and swap of Gold Bins for Gold Bin subscribers (each Gold trash pickup is a separate per-order Service, not part of the subscription fee); and (c) Junk, removal of bulk items based on a photo estimate. Services are performed by independent Trash Daddies who accept orders through the App. Availability, arrival times, and the Services offered may vary by District and are not guaranteed.

3.2 Repeat orders.

If you turn on repeat orders, you authorize us to place and charge each repeat order automatically on the schedule you select, at the price in effect when each order is placed, until you turn repeat orders off in the App.

3.3 Order cancellation.

You may cancel an order in the App only before a Trash Daddy has accepted it. Once a Trash Daddy accepts an order, it cannot be cancelled.

3.4 Access and service location.

You are responsible for providing accurate location information and safe, reasonable access to your cans, Gold Bins, or items, including gate codes and special instructions. You represent that you have authority to grant access to the service location. If a Trash Daddy cannot safely complete an order because of locked gates, blocked access, unrestrained animals, unsafe conditions, prohibited materials, or inaccurate information, the order may be marked incomplete, and we may charge for the attempted service to the extent permitted by law. Cans may be returned to any reasonable location at the service address.

3.5 Prohibited materials.

You may not place prohibited materials in any can, bag, Gold Bin, or Junk order. The following notice appears on Gold Bins and applies to all Services:

Notice: Bin lid must remain closed always including transport! Hazardous materials such as lithium-ion batteries, automotive fluids, propane tanks, poisons, hot ashes, appliances, and tires are prohibited.

Prohibited materials also include any other hazardous, toxic, flammable, explosive, corrosive, radioactive, infectious, or medical waste (including needles and sharps); chemicals, paint, solvents, and pesticides; firearms and ammunition; dead animals; liquids; and any item whose collection, transport, or disposal is restricted by federal, state, or local law. The App may display additional prohibited items. We and Trash Daddies may refuse to collect any item in our discretion. You are solely responsible for any injury, damage, fine, cleanup, or disposal cost caused by prohibited materials you place for collection, and you agree to reimburse us for those costs.

3.6 Reasonable use and weight.

Loads must be reasonable in weight and volume for safe handling by one person and for the container used. Bags must be closed, and Gold Bin lids must close fully. We may charge additional fees, refuse service, suspend, or terminate any account that overloads containers, places prohibited materials, abuses the Services, or endangers Trash Daddies or others.

3.7 Junk removal.

You represent that you own, or have the legal right to dispose of, every item you submit for Junk removal, and that the items are not subject to any claim by a landlord, lender, or other person. We are not liable for disposal of any item you submit. Items collected are not retrievable once removed.

3.8 Customer property.

We strive to provide excellent service and may add courtesies such as bin liners. However, to the fullest extent permitted by law, we are not liable for wear, damage, or loss of your cans, containers, bags, or other property, or for the placement of cans after service. Ownership of all collected materials transfers to Trash Daddy or its disposal provider upon collection, except that prohibited materials remain your responsibility.

3.9 Proof of service.

We may record service details such as time, location, bin identifiers (including QR codes), and photos to confirm service, document condition, and resolve disputes. These records are presumed accurate absent clear evidence to the contrary.

4. Gold Bin Subscription and Rental Terms

4.1 What Gold includes.

A Gold Bin subscription gives you the rental and use of one or more Gold Bins at your service address and access to Gold trash pickup, which you order and pay for separately per order under Sections 2 and 3. Gold Bins are cleaned, sanitized, and swapped when Gold trash pickups are completed, so the specific bin at your address may change over time. Gold Bin availability is limited and may be waitlisted or unavailable in some Districts.

4.2 Automatic monthly renewal.

THE GOLD BIN SUBSCRIPTION RENEWS AUTOMATICALLY EACH MONTH UNTIL YOU CANCEL. The monthly subscription price per bin is shown in the App before you subscribe. When you subscribe, we verify available funds, and the first monthly charge is processed when your Gold Bins are delivered. After that, you authorize us to charge your payment method on file each month on the same day of the month as your original order (or the last day of the month if that day does not exist), until you cancel. There is no contract and no minimum term.

4.3 Delivery and pickup fee.

A one-time Gold Bin delivery and pickup fee, which may be labeled in the App as a deposit and pickup fee, is charged when your Gold Bins are delivered. It covers the delivery of your Gold Bins and their later pickup when your subscription ends. This fee is not refundable once your Gold Bins have been delivered, and it is not a security deposit against damage or loss.

4.4 Subscription price changes.

We may change the Gold Bin subscription price. Because the subscription renews automatically, we will provide reasonable advance notice of a subscription price increase by email, push notification, or in-app message before it applies to your next monthly charge, and you may cancel before the new price takes effect. Prices for per-order Services, including Gold trash pickup, are not part of the subscription and may change at any time as described in Section 2.3.

4.5 Cancellation and prorated refund.

You may cancel your Gold Bin subscription at any time in the App. When you cancel, we will refund the unused portion of your current month's subscription charge on a prorated basis, and we will create a pickup order to retrieve your Gold Bins. The delivery and pickup fee is not refunded.

4.6 Failed payments.

If a monthly subscription charge fails, our payment processor will automatically retry it over approximately two weeks, and we will notify you in the App, by push notification, and by email. If payment is not collected within the retry period, your subscription will be cancelled automatically and a pickup order will be created to retrieve your Gold Bins. Amounts owed remain due.

4.7 Ownership.

Trash Daddy owns all Gold Bins at all times. Your subscription is a rental of the use of Gold Bins only. You obtain no ownership interest in any Gold Bin and may not sell, lend, sublease, pledge, modify, paint, decorate, remove labels, QR codes, or tracking identifiers from, or otherwise encumber a Gold Bin.

4.8 Location and moving.

Each Gold Bin is assigned to your service address. Keep it in a reasonable location at that address, indoors or outdoors, where a Trash Daddy can safely access it for pickup. You may not move a Gold Bin to another address. If you move, cancel your subscription for the old address so we can retrieve the Gold Bins, and order new Gold Bins for your new address if it is within a District. You are responsible for complying with all HOA, community, landlord, and municipal rules that apply to keeping a bin at your property.

4.9 Proper use.

You agree to keep the Gold Bin lid closed at all times, not to overfill the bin so the lid cannot close, to keep bin contents reasonable in weight, and not to place prohibited materials in the bin (Section 3.5). Gold Bins are for trash only and may not be used for any other purpose.

4.10 Your responsibility for the Gold Bin.

From delivery until we retrieve it, you are responsible for the Gold Bins at your address and must use reasonable care to protect them. You are responsible for, and agree to pay the cost of, any Gold Bin that is lost, stolen, destroyed, or damaged beyond normal wear and tear while in your care, including damage caused by misuse, fire, hot ashes, prohibited materials, vandalism, or vehicles. Damage charges may include the cost of repair, replacement parts (such as lids and wheels), or full replacement, and extraordinary cleaning if a bin is contaminated beyond normal use. Replacement costs are based on our then-current cost of the bin, including manufacturing and shipping costs, and may change over time. We will notify you of any charge, and you authorize us to charge your payment method on file for it. We may waive or reduce any charge in our discretion. We do not require a police report for a lost or stolen bin but may request one.

4.11 Documenting condition.

Trash Daddies may record the condition of Gold Bins with photos, notes, and bin identifiers at delivery, swap, and pickup. We use these records, together with the bin's tracking history, to determine when and where damage or loss occurred. If you believe a charge is in error, contact us within 30 days and provide any photos or information you have.

4.12 Returning Gold Bins after cancellation.

After your subscription ends for any reason, you must make all Gold Bins accessible for pickup within 7 days. If we are unable to retrieve a Gold Bin within 14 days after the subscription ends despite reasonable attempts to contact you and schedule pickup, the bin will be considered lost or stolen, and we may charge its replacement cost under Section 4.10. If the bin is later returned in good condition, we may refund all or part of that charge in our discretion.

4.13 Liability for bins on your property.

You control the location and use of Gold Bins at your property. To the fullest extent permitted by law, you are solely responsible for, and Trash Daddy is not liable for, any injury to persons or damage to property (including vehicles, structures, and landscaping) caused by a Gold Bin while it is at your property, including bins moved by wind, weather, animals, or third parties, except to the extent caused by our gross negligence or willful misconduct.

4.14 Suspension and termination.

We may suspend or terminate a Gold Bin subscription and retrieve Gold Bins at any time, including for non-payment, abuse, prohibited materials, safety concerns, service-area changes, or violation of these Terms. If we terminate for reasons other than your breach, we will refund the prorated unused portion of your current month's subscription charge.

5. Refer & Earn Program

5.1 How it works.

We encourage you to share Trash Daddy. Any account holder, including individuals and organizations such as schools, churches, and nonprofits, may share their personal referral link or QR code from the App. When a new Customer signs up using your link, you earn a referral reward equal to the percentage of each qualifying order shown in the App (currently 5%), and the referred Customer receives the first-order discount shown in the App (currently 30% off). "Qualifying orders" are completed, paid orders for Services placed by the referred Customer, excluding taxes, tips, one-time fees, and amounts refunded or charged back. There is no minimum or maximum number of referrals.

5.2 Meaning of "forever."

When we describe referral rewards as earned "forever," we mean for the life of the referred Customer's account, meaning as long as that Customer's account remains active and continues placing qualifying orders, and as long as the Refer & Earn program is offered. It does not mean rewards continue after the referred Customer's account is closed or inactive, after the program ends or changes, or after your participation is terminated.

5.3 Payment of rewards.

Rewards are credited to your in-App wallet after the qualifying order is completed and paid. You may withdraw your wallet balance to a linked bank account through our payment processor, subject to its verification requirements. Organizations must create an account in the organization's name and link the organization's own bank account. Rewards may be reversed if the underlying order is refunded, charged back, or found to be fraudulent.

5.4 Taxes.

Referral rewards may be taxable income. You are responsible for any taxes on your rewards. We or our payment processor may collect tax information from you and issue tax forms where required by law.

5.5 How you may share.

You may share your link with people you know, on your own social media accounts, and through printed materials provided or approved by Trash Daddy (such as our Refer & Earn flyer). You may not: (a) send spam or unsolicited bulk messages, or texts or calls that violate telemarketing laws; (b) run paid advertising using the Trash Daddy name, logos, or trademarks, including bidding on our brand terms in search ads; (c) create websites, apps, or social media accounts that appear to be operated by Trash Daddy; (d) make false or misleading statements about Trash Daddy, our prices, or potential earnings; (e) refer yourself, create duplicate or fake accounts, or refer accounts you control; or (f) offer cash or incentives we have not approved in exchange for signups.

5.6 Fraud and abuse.

We may withhold, reverse, or cancel rewards, suspend or remove you from the program, and close your account if we believe, in our discretion, that you have violated these Terms or engaged in fraud, abuse, or manipulation of the program.

5.7 No earnings guarantee.

Rewards depend entirely on the number of Customers you refer and on their order sizes and frequency. We make no guarantee of any level of earnings, and any examples we provide are illustrations only. Participation in Refer & Earn does not create an employment, agency, partnership, or franchise relationship.

5.8 Changes.

We may modify the reward percentage, discount, eligibility rules, or any other aspect of the program, or suspend or end the program, at any time. Changes apply to orders placed after the change takes effect. Rewards earned on completed qualifying orders before a change will be honored unless reversed under Sections 5.3 or 5.6.

6. Trash Daddy Independent Contractor Terms

This Section applies to you if you apply to become, or are approved as, a Trash Daddy. The rest of these Terms also apply to you, including the Arbitration Agreement in Section 10.

6.1 Independent contractor relationship.

You are an independent contractor, not an employee, agent, partner, or joint venturer of Trash Daddy or any Franchisee. You decide whether, when, where, and how often to go online, and which orders to accept or decline. There is no minimum number of hours or orders. Nothing in these Terms creates an employment relationship, and you are not entitled to wages, overtime, benefits, workers' compensation, or unemployment insurance from Trash Daddy or any Franchisee. You may provide services for other companies, including competitors, when not performing an accepted order.

6.2 Approval and verification.

To become a Trash Daddy, you must complete the in-App application, identity verification (including review of your driver's license and proof of auto insurance), and training, and be approved by us. You authorize us to verify your identity and information and, with any separate authorization required by law, to conduct background screening. We may approve or decline any applicant, and may re-verify you, at our discretion and in compliance with applicable law.

6.3 Personal performance; no helpers or subcontracting.

Only you may perform orders you accept. You may not share your account, allow anyone else to perform or assist with orders, bring passengers or helpers to service locations, or subcontract or transfer orders. Every person performing Services must be separately approved through the App.

6.4 Your vehicle, equipment, and expenses.

You provide and maintain your own vehicle, phone, and any equipment you choose to use, at your own expense, except for Gold Bins and other items we supply. You are solely responsible for your vehicle's condition and safe operation and for all costs of doing business, including fuel, maintenance, tolls, parking, fines, and phone service, except that Trash Daddy or a Franchisee pays disposal site fees for accepted orders.

6.5 Licenses, insurance, and legal compliance.

You must hold a valid driver's license and maintain at least the minimum auto insurance required by law for any vehicle you use, and provide proof of both when you apply and whenever we request it. You must notify us promptly if your license is suspended or revoked or your insurance lapses, and you may not accept orders while either is invalid. Trash Daddy does not require commercial insurance. Our review of your license and insurance does not mean we confirm that your coverage is adequate or applies to the Services. You are solely responsible for complying with all other laws that apply to you and your vehicle, including vehicle registration and any permits your jurisdiction requires. You acknowledge that personal auto insurance policies may exclude coverage for business use, and that you are responsible for deciding what insurance to carry.

6.6 Earnings.

You earn the amount shown in the App for each order when you accept it, which is calculated per bin or per order under the rate structure we set for the Platform and may change at any time for future orders. Earnings for an order become payable when you check the collected bins or items in at the designated disposal site through the App. You also receive 100% of Customer tips, less only Stripe processing fees on the tip. Earnings may be adjusted or withheld for incomplete orders, fraud, or amounts you owe under Section 6.9.

6.7 Payouts.

Earnings are credited to your in-App wallet. You may withdraw your balance to your linked bank account through Stripe. Standard withdrawals are free from Trash Daddy and typically arrive in 3 to 5 business days, depending on your bank. We may offer instant or expedited withdrawals for a fee disclosed in the App. You must complete Stripe's verification and accept its terms to receive payouts.

6.8 Taxes.

You are responsible for all taxes on your earnings, including self-employment taxes. We or Stripe may collect your taxpayer information and issue tax forms (such as Form 1099) as required by law. We do not withhold taxes from your earnings.

6.9 Gold Bins in your custody.

While a Gold Bin is in your custody, from pickup at a Customer's location until check-in, swap, or return, you must use reasonable care to protect it and keep the lid closed during transport. You are responsible for, and agree to pay the cost of, any Gold Bin that is lost, stolen, or damaged beyond normal wear and tear while in your custody, calculated as described in Section 4.10. You authorize us to deduct these amounts from your earnings or wallet balance, to the extent permitted by law. We may waive or reduce any charge in our discretion.

6.10 Service standards and documentation.

When performing orders, you agree to follow the App's instructions and our published safety and service standards, handle Customer property with care, close gates and follow access instructions, and refuse prohibited materials. If you see damage to a Gold Bin or Customer property, you agree to photograph it and report it in the App or to support before continuing.

6.11 Customer information.

Customer information you receive through the App, including names, phone numbers, addresses, gate codes, and special instructions, is confidential. You may use it only to complete the accepted order and must not copy, keep, share, or use it for any other purpose, or contact Customers outside the App except as needed to complete an order.

6.12 Safety and your own risk.

Trash Daddy work involves physical labor, driving, lifting, and exposure to weather, animals, uneven ground, and waste. You are responsible for your own safety and for deciding whether an order can be completed safely. You may decline or stop any order you believe is unsafe. To the fullest extent permitted by law, Trash Daddy, its Franchisees, and their personnel are not liable for any injury, illness, loss, or damage you suffer while performing Services, including injuries caused by lifting, falls, vehicles, animals, or materials at a service location. Any claim against a Customer or other third party is between you and that person.

6.13 Your liability.

You are responsible for damage or injury you cause to Customers, their property, or others while performing Services, and you agree to indemnify Trash Daddy and its Franchisees as described in Section 9.3.

6.14 Deactivation.

We may suspend or deactivate your Trash Daddy account at any time, including for safety concerns, fraud, Customer complaints, violation of these Terms, failure to maintain verification, or legal requirements. Where practical, we will tell you the reason. You may stop being a Trash Daddy at any time by going offline or contacting us. Sections 6.8, 6.9, 6.11, 6.12, 6.13, 9, and 10 survive deactivation.

7. Franchises, District Directors, Marketing, and Trademark

7.1 Franchises.

Trash Daddy may license independently owned Franchisees to manage one or more Districts. Franchise relationships are governed solely by Trash Daddy's Franchise Disclosure Document ("FDD") and the separate franchise agreement between Trash Daddy and each Franchisee, not by these Terms. Nothing on the Platform or in these Terms is an offer to sell a franchise; any franchise offer is made only through our FDD in compliance with applicable franchise laws.

7.2 Who you contract with.

Customers and Trash Daddies contract with and pay or are paid by Trash Daddy, Inc. through the Platform, even where a District is managed by a Franchisee. Franchisees manage District operations with Trash Daddy's support and do not separately contract with Customers or Trash Daddies for the Services. To the extent a Franchisee or its personnel perform activities related to the Services, they are entitled to the benefit of the disclaimers, limitations of liability, and Arbitration Agreement in these Terms.

7.3 District Directors.

District Directors are employees of Trash Daddy or a Franchisee who help manage Districts, orders, and Trash Daddies. Their employment is governed by their employment arrangements, not by these Terms. District Directors are not independent contractors under Section 6.

7.4 Marketing through corporate.

All advertising and marketing of Trash Daddy, including paid advertising, press, promotional events, signage, and marketing materials, must be created or approved by Trash Daddy, Inc. This applies to Customers, Trash Daddies, Refer & Earn participants, and Franchisees (whose marketing is also governed by their franchise agreement). Sharing your referral link as permitted in Section 5.5 and using materials we provide for that purpose is permitted and encouraged.

7.5 Trademarks.

"Trash Daddy," "Trash Daddy Gold," "Gold Bin," the Trash Daddy character and logos, and related names, designs, and slogans are trademarks or trade dress of Trash Daddy, Inc. You may not use them without our prior written permission, except to identify Trash Daddy when sharing your referral link or linking to our website as permitted in these Terms, without altering them or implying endorsement.

7.6 Linking.

You may link to any page of our website, including through your referral link, provided the link is fair and lawful, does not misrepresent your relationship with Trash Daddy or imply our endorsement, and does not frame or alter our content. We may withdraw linking permission for any link that violates these Terms.

8. Platform Use, Accounts, and Content

8.1 Accounts and security.

You must provide accurate, current, and complete information and keep it updated. You are responsible for all activity under your account and for keeping your login credentials confidential. Notify us immediately at hello@trashdaddy.com of any unauthorized use. You may delete your account at any time in the App. Deleting your account cancels active subscriptions and repeat orders but does not relieve you of amounts owed or your obligation to return Gold Bins.

8.2 License to use the Platform.

Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to use the Platform for your personal or business purposes as a Customer, Trash Daddy, or Refer & Earn participant. The Platform, including its software, designs, text, images, video, and features, is owned by Trash Daddy or its licensors and protected by intellectual property laws. All rights not expressly granted are reserved.

8.3 App stores.

If you download the App from the Apple App Store or Google Play, you also agree to that store's applicable terms. Apple and Google are not parties to these Terms and are not responsible for the App or its support. Apple and its subsidiaries are third-party beneficiaries of these Terms as they relate to your license to use the App on Apple devices and may enforce them.

8.4 Prohibited uses.

You agree not to:

  • Use the Platform in violation of any law or these Terms.

  • Provide false information, impersonate any person, or misrepresent your affiliation with Trash Daddy.

  • Place fraudulent orders, abuse promotions or refunds, or manipulate pricing, Districts, or the Refer & Earn program.

  • Harass, threaten, or abuse Trash Daddies, Customers, or our staff.

  • Copy, modify, reverse engineer, scrape, or create derivative works of the Platform, or use bots or automated means to access it.

  • Interfere with, disrupt, or attempt unauthorized access to the Platform, its servers, or its data, or introduce malware.

  • Use the Platform to send spam or unauthorized advertising.

8.5 User content.

You may submit photos, messages, reviews, and other content ("User Content"), for example for Junk estimates or support. You keep ownership of your User Content, but grant Trash Daddy a worldwide, royalty-free, perpetual, irrevocable license to use, reproduce, modify, display, and distribute it to operate, improve, and promote the Services. You represent that you have the right to submit it and that it does not violate any law or anyone's rights. Do not submit content that is unlawful, defamatory, obscene, harassing, discriminatory, or that shows people who have not consented. We may remove any User Content at our discretion.

8.6 Feedback.

If you give us suggestions or feedback, we may use them without restriction or compensation to you.

8.7 Communications.

By creating an account, you agree that we may send you transactional and service messages, including order updates, payment notices, and policy changes, by email, push notification, and in-app message. We may also send occasional marketing messages; you can opt out of marketing emails using the unsubscribe link and of marketing push notifications in your device settings. We do not currently send text messages; if we do in the future, we will obtain any consent required by law first.

8.8 Third-party services.

The Platform relies on third-party services, including Stripe for payments and mapping and location providers. We are not responsible for third-party services, websites, or content, and your use of them is subject to their terms.

8.9 Platform availability.

We may modify, suspend, or discontinue any part of the Platform at any time. We are not liable if the Platform is unavailable for any period.

8.10 Suspension and termination.

We may suspend or terminate your account or access to any Service at any time, with or without notice, if we believe you violated these Terms, created risk or legal exposure, or for any other reason permitted by law. Sections that by their nature should survive termination will survive, including Sections 2.9, 4.10 through 4.13, 5.4, 6.8, 6.9, 8.5, 9, 10, and 11.

9. Disclaimers, Limitation of Liability, and Indemnification

9.1 Disclaimer of warranties.

THE PLATFORM AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, TRASH DADDY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, THAT ANY SERVICE WILL BE AVAILABLE AT A PARTICULAR TIME OR LOCATION, OR THAT ARRIVAL TIMES, ESTIMATES, OR SAVINGS EXAMPLES WILL BE ACHIEVED. SAVINGS CLAIMS ARE BASED ON THE ASSUMPTIONS STATED WHERE THEY APPEAR AND MAY NOT REFLECT YOUR RESULTS.

9.2 Limitation of liability.

TO THE FULLEST EXTENT PERMITTED BY LAW: (A) TRASH DADDY, ITS FRANCHISEES, AFFILIATES, AND THEIR OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THE PLATFORM, THE SERVICES, OR THESE TERMS, EVEN IF ADVISED OF THEIR POSSIBILITY; AND (B) OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE PLATFORM, THE SERVICES, OR THESE TERMS WILL NOT EXCEED THE GREATER OF (i) THE AMOUNTS YOU PAID TO TRASH DADDY IN THE SIX (6) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (ii) ONE HUNDRED DOLLARS ($100). THESE LIMITATIONS APPLY TO ALL THEORIES OF LIABILITY, INCLUDING CONTRACT, TORT (INCLUDING NEGLIGENCE), AND STATUTE. THEY DO NOT LIMIT LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW, INCLUDING FOR GROSS NEGLIGENCE, WILLFUL MISCONDUCT, OR FRAUD WHERE THE LAW SO PROVIDES.

9.3 Indemnification.

You agree to defend, indemnify, and hold harmless Trash Daddy, its Franchisees, affiliates, and their officers, directors, employees, contractors, and agents from all claims, liabilities, damages, losses, fines, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Platform or Services; (b) your violation of these Terms or any law; (c) prohibited materials you place for collection; (d) Gold Bins while at your property or in your custody; (e) your User Content; and (f) if you are a Trash Daddy, your performance of Services, your vehicle, and your acts or omissions. We may assume control of the defense of any matter, and you agree to cooperate.

9.4 Time to bring claims.

TO THE FULLEST EXTENT PERMITTED BY LAW, ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS, THE PLATFORM, OR THE SERVICES MUST BE BROUGHT WITHIN ONE (1) YEAR AFTER THE CLAIM ARISES, OR IT IS PERMANENTLY BARRED.

10. Governing Law, Arbitration Agreement, and Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY. IT REQUIRES YOU AND TRASH DADDY TO RESOLVE DISPUTES THROUGH INDIVIDUAL BINDING ARBITRATION, WAIVES THE RIGHT TO A JURY TRIAL, AND WAIVES THE RIGHT TO PARTICIPATE IN CLASS, COLLECTIVE, OR REPRESENTATIVE ACTIONS. YOU MAY OPT OUT AS DESCRIBED IN SECTION 10.11.

10.1 Governing law.

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law rules, except that this Arbitration Agreement is governed by the Federal Arbitration Act ("FAA"). If the FAA is found not to apply to any dispute (including a dispute with a Trash Daddy), this Arbitration Agreement is governed by the Delaware Uniform Arbitration Act.

10.2 Scope.

"Disputes" means any dispute, claim, or controversy between you and Trash Daddy (including its Franchisees, affiliates, officers, directors, employees, and agents, who are third-party beneficiaries of this Section) arising out of or relating to these Terms, any prior version of them, the Platform, the Services, the Gold Bin subscription, Refer & Earn, your relationship with us as a Customer or Trash Daddy (including claims about classification, earnings, or deactivation), or our Privacy Policy, whether based in contract, tort, statute, or any other theory, and whether arising before or after you accepted these Terms. Disputes also include disputes about the scope, applicability, enforceability, or formation of this Arbitration Agreement, which the arbitrator will decide, except as stated in Sections 10.7 and 10.8.

10.3 Exclusions.

Either party may (a) bring an individual claim in small claims court if it qualifies and remains there, and (b) bring a claim in court for infringement or misappropriation of intellectual property rights. Either party may also seek temporary injunctive relief in court to preserve the status quo pending arbitration.

10.4 Required pre-arbitration notice and conference.

Before starting arbitration, the party with a Dispute must send the other a written Notice of Dispute that includes the claimant's name, account email and phone number, a description of the Dispute and the facts supporting it, and the specific relief sought, personally signed by the claimant (and by counsel, if represented). Notices to Trash Daddy must be emailed to hello@trashdaddy.com with the subject line "Notice of Dispute" and mailed to Trash Daddy, Inc., Attn: Legal, 3038 Lone Oak Rd, STE 4 PMB #25, Paducah, KY 42003. Within 60 days after the Notice is received, the parties must participate in an individual, good-faith settlement conference by phone or video, which the claimant must attend personally (with counsel, if represented). Neither party may begin arbitration until this 60-day period ends. Statutes of limitation and filing-fee deadlines are tolled while this process is pending. An arbitration demand filed without complying with this Section may be dismissed, and a court may enforce this Section.

10.5 Arbitration provider and rules.

Arbitration will be administered by National Arbitration and Mediation ("NAM") under its Comprehensive Dispute Resolution Rules and Procedures and, where applicable, its Mass Filing Supplemental Dispute Resolution Rules and Procedures, as modified by this Arbitration Agreement. If NAM is unavailable or unwilling to administer, the parties will agree on a substitute provider, or a court will appoint one. A single arbitrator will decide each arbitration. Unless the parties agree otherwise or the arbitrator finds an in-person hearing necessary, arbitration will be conducted by video conference or on written submissions. Any in-person hearing will take place in the county where you reside or another mutually agreed location.

10.6 Fees.

Payment of filing, administrative, and arbitrator fees will be governed by NAM's rules, except that if you are an individual Customer or a Trash Daddy, your share of filing fees will not exceed the filing fee you would pay to bring the claim in court, and Trash Daddy will pay the remaining fees for non-frivolous claims. Each party bears its own attorneys' fees and costs unless the arbitrator awards them under applicable law. If the arbitrator finds a claim or defense frivolous or brought for an improper purpose, the arbitrator may award fees and costs to the other party.

10.7 Individual relief; class action waiver.

YOU AND TRASH DADDY MAY BRING CLAIMS AGAINST EACH OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. The arbitrator may award relief only in favor of the individual party seeking relief and only to the extent necessary to provide relief warranted by that party's individual claim. The arbitrator may not consolidate claims of more than one person, except as provided in Section 10.8. Notwithstanding Section 10.2, only a court may decide disputes about the enforceability of this Section 10.7. If a court finds this Section 10.7 unenforceable as to any claim or form of relief, that claim or relief will be severed and decided in court after all individual claims have been arbitrated, and the remaining claims will be arbitrated. Any claim for public injunctive relief will be decided by a court after the individual claims are arbitrated.

10.8 Mass arbitration.

If 25 or more demands for arbitration raising similar claims are submitted by or with the assistance of the same or coordinated counsel or organizations ("Mass Filing"), the following applies in addition to NAM's mass filing rules: (a) the parties' counsel will select 10 demands (5 chosen by each side) to proceed first as bellwether arbitrations, each before a different arbitrator; (b) all other demands in the Mass Filing will not be filed, administered, or assessed fees until the bellwether arbitrations conclude; (c) after the bellwether arbitrations, the parties will participate in a global mediation, with the mediator's fees paid by Trash Daddy; (d) if the remaining claims are not resolved, they will proceed in staged batches of up to 50 demands at a time, with each batch decided by one arbitrator and fees assessed per batch, unless the parties agree otherwise; and (e) statutes of limitation are tolled for all claims in a Mass Filing from submission of the Notice of Dispute until the claim may proceed. A court may enforce this Section, including by enjoining the filing or administration of demands that do not comply with it.

10.9 Jury trial waiver.

If any Dispute proceeds in court rather than arbitration, YOU AND TRASH DADDY WAIVE ANY RIGHT TO A JURY TRIAL, to the extent permitted by law.

10.10 Court venue.

Any Dispute not subject to arbitration, and any action to compel arbitration or to confirm, modify, or vacate an award, will be brought exclusively in the state or federal courts located in McCracken County, Kentucky, and you consent to personal jurisdiction there, except that small claims may be brought in the small claims court where you reside.

10.11 30-day right to opt out.

You may opt out of this Arbitration Agreement by emailing hello@trashdaddy.com, from the email address on your account, with the subject line "Arbitration Opt-Out" and your name, account email, and a clear statement that you opt out, within 30 days after you first accept these Terms (or, for existing users, within 30 days after you first accept this version of these Terms). Opting out does not affect any other part of these Terms or any prior arbitration agreement you did not opt out of. If you opt out, Trash Daddy is also not bound by this Arbitration Agreement as to you.

10.12 Changes to this Section.

We will give at least 30 days' notice of any material change to this Arbitration Agreement by posting it on the Platform and by email or in-app notice. A change will not apply to any Dispute of which we had actual notice before the change took effect.

10.13 Severability and survival.

Except as provided in Section 10.7, if any part of this Arbitration Agreement is found unenforceable, that part will be severed and the rest will remain in effect. This Arbitration Agreement survives termination of your account, your subscription, your participation as a Trash Daddy, and these Terms.

11. General Terms and Contact

11.1 Geographic scope.

The Platform is intended for use in the United States, and Services are available only in active Districts.

11.2 Assignment.

You may not assign or transfer these Terms or your account without our written consent. We may assign these Terms, in whole or in part, including to an affiliate, Franchisee, or successor in a merger, acquisition, or sale of assets.

11.3 Force majeure.

We are not liable for delays or failures caused by events beyond our reasonable control, including weather, natural disasters, road closures, disposal site closures, labor shortages, utility or internet outages, pandemics, or government action.

11.4 Waiver and severability.

Our failure to enforce any provision is not a waiver. Except as provided in Section 10, if any provision is found unenforceable, it will be limited to the minimum extent necessary and the rest of these Terms will remain in effect.

11.5 Entire agreement.

These Terms, our Privacy Policy, and any in-App terms presented when you order, subscribe, or apply constitute the entire agreement between you and Trash Daddy regarding the Platform and Services, and supersede all prior versions and understandings. If an in-App term conflicts with these Terms, these Terms control unless the in-App term expressly states otherwise. Franchise relationships are governed by the FDD and franchise agreement under Section 7.1.

11.6 Electronic communications.

You consent to receive agreements, notices, and disclosures electronically, and agree that electronic acceptance has the same effect as a signature.
